Girlfriends who have taken Girlfriend Getaways Official Rules

1. The Girlfriend Getaways Contest (hereinafter the “Contest”) is open to all United States (U.S.) legal residents who are at least 18 years of age or older at the time of entry. Void outside the U.S. and where otherwise prohibited by law. No purchase necessary to entry or to receive a prize. Purchase does not necessarily increase your chances to win.

2. Aspire. Aspire. People. Performance. Profits. LLC (herein after referred to as “Aspire”), 2301 East Washington Street, Phoenix, AZ 85034.

3. Entry Submissions, Duration of Contest and Eligibility. The Contest begins at 12:00:01 AM Pacific Standard Time (“PST”) on July 10, 2008 and ends at 12:00:00 PM PST on October 15, 2008 (“Contest Period”). Entry Submissions may be up to 400 words (written) or 2 minutes in length (video) to qualify. Entry Submissions longer than 400 words or two minutes will be automatically disqualified. Contestants can either enter their submissions to contest@givetoyourself.com or mail them to 2301 East Washington Street, Phoenix, AZ 85034. Contestants shall provide their first and last name, date of birth, email address, physical address, and daytime phone number (area code first). All Contestants’ Information must be completed in full and will be used according to these official rules or the privacy policy, incorporated by reference herein. Entry Submissions must be received by 12:00:00 p.m. PST on October 15, 2008. Aspire’s Arizona clocks are the official clock for the Contest. Proof of submitting Entry Submissions will not be deemed by Aspire as proof of entry or Aspire’s receipt of Entry Submissions into the Contest. All other forms of entry into this Contest, other than as mandated herein, are void. Contestants must have either a valid social security number, a valid U.S. personal tax identification, or a valid social insurance number to participate. Aspire. People. Performance. Profits. LLC, Employees of Aspire, Aspire’s advertising or promotion agencies, those involved in the production on behalf of Aspire, development, implementation or handling of this Contest, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, affiliates, licensees, service providers, prize suppliers, any other person or entity associated with this Contest (collectively, “Aspire”), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Contest. Contest subject to all applicable federal, state and local laws and regulations.

4. Prizes Awarded: Three Prizes (herein referred to as “Girlfriend Getaway Package(s)”) will be awarded to the top three (3) Girlfriend Getaway Entry Submissions. Each Girlfriend Getaway Package(s) is worth a minimum of $750 and includes lodging, resort fees for two (2) people, one activity for two (2) women. The Girlfriend Getaway Package(s) will be randomly assigned to a Winner. The three (3) Girlfriend Getaway Package(s) Destinations are: (1) Stowe Mountain Lodge, Stowe Vermont, (2) Vail Cascade Resort & Spa, Vail, Colorado, and (3) L’Auberge del Mar, Del Mar, California. Girlfriend Getaway Package(s) are all apart of Destination Hotels & Resorts and all 4 plus star resorts. Destination Hotels & Resorts is a client of Aspire. Aspire reserves the right to award the Trip “as is.” Winner must schedule, obtain and pay for travel to and from the Girlfriend Getaway Package destination. If Winner chooses to take more guests than allotted; Aspire is not responsible for arranging or booking such additional travel accommodations or arrangements. Girlfriend Getaway Package(s) is subject to, including but not limited to, air/hotel availability, black-out dates, and excludes special events, New Years Eve, Federal Holidays, Christmas and Valentine’s Day. Winner must complete travel for the Girlfriend Getaway Package(s), on space available basis, by December 31, 2009 or Girlfriend Getaway Package(s) will be forfeited. Once Girlfriend Getaway Package(s) has been scheduled and confirmed, any cancellation fees, change fees or rescheduling fees of Girlfriend Getaway Package(s) are the sole responsibility of the Winner. Winner or guest must have/present at least one major credit card in good standing in order to check into Girlfriend Getaway Package(s) destination. Alcohol is not included nor any specific meals unless otherwise specified by the Girlfriend Getaway Package(s) destination. If any element, part or component of the Girlfriend Getaway Package(s) destination offerings is not available during the Girlfriend Getaway Package(s) is utilized for whatever reason (e.g., weather conditions, etc.), that portion of the Girlfriend Getaway Package(s) will be forfeited, and no compensation will be awarded in lieu thereof. Items not specifically mentioned as being included as part of the Girlfriend Getaway Package(s) are the sole responsibility of the Winner and her guest, if applicable, and may include, but are not limited to, ground transportation, airport tax, travel tax, travel insurance, unspecified meals, alcoholic beverages, room service, laundry service, spa treatments, hotel incidentals, personal items, local and long distance telephone calls, gratuities, government fees, and all other costs and expenses not otherwise mentioned herein. Winner and Winner’s guest are solely responsible for providing all necessary identification documents and/or proof of citizenship and will be responsible for obtaining all necessary travel documents, if applicable. Failure to provide such documents may result in Girlfriend Getaway Package(s) cancellation. The Girlfriend Getaway Package(s) restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the Prize Acceptance Documents (described below) and/or any Girlfriend Getaway Package(s) documents.

5. Decision of Winners, Notification of Winners and Claiming Prizes. In November, 2008, Aspire, at Aspire’s sole discretion, will pick the top three (3) Girlfriend Getaway Entry Submissions from among all eligible Entry Submissions received. By November 31, 2008, each Winner will be notified by email, previously provided on that Contestant’s Entry Submission. If any Winner cannot be reached after a reasonable effort has been exerted, she is found to be ineligible, she cannot or does not comply with these Official Rules, and/or if her notification is returned as undeliverable, such Winner will be disqualified and, an alternate potential Winner of such prize will be selected at Aspires' sole discretion. Eligibility, age and prize claims by Winner are subject to verification. Winner must meet all eligibility requirements in these Official Rules. Winner must sign, notarize and return to Aspire the Prize Acceptance Documents, these documents include an affidavit of eligibility, prize acceptance, liability and (where legally permissible) a publicity release documentation within fourteen (14) calendar days of notification of prize. Winner will be disqualification for non-compliance with, including but not limited to, these Official Rules or procedures to accept the prize and the prize will be awarded to an Alternate Winner. Winner must supply Aspire her social security number for tax purposes. Winner is solely responsible for all federal, state, and local taxes on prizes awarded. No substitution or transfer of any Girlfriend Getaway Package(s) permitted. Aspire reserves the right to substitute a prize of equal or greater value. Aspire is not responsible for fraudulent calls or E-mails made to Contestants not by Aspire.

6. Rules and Regulations pertaining to Intellectual Property: By entering the Contest, each Contestants warrants and represents that her entry is original, owns all rights to the Entry Submissions, and has been legally obtained and created, does not infringe on the intellectual property, privacy or publicity rights, defame or otherwise violate any other legal or moral rights of any third party, or violate any federal, state or local laws or ordinances or other applicable laws. Furthermore, the Contestants has secured the requisite consent from any third party referenced in their entry, (including in their written story and/or Video, if their entry is a Entry Submissions, agree to provide legal releases for the use of such reference in a form satisfactory to Aspire).

7. Use of Entry Submission and Intellectual Property Rights. Aspire shall own the Entry Submissions written stories and/or Videos and all material embodied therein (collectively, the “Works”). To that end, Aspire and its successors, assigns, licensees, or designees shall have the right and permission to use (unless prohibited by law) Contestant’s name, biography, voice, city and state of residence, photographs, opinions, submitted written story and/or video and/or likeness for advertising, trade and/or any other purpose in any media now or hereafter known worldwide, in perpetuity and without further compensation, permission or notification to Contestants or any third parties. For the purpose of promoting the Contest, between July 10 and October 15, Aspire or its successors, assignees, licensees or designees may post, broadcast, display the Works on www.aspiremarketing.com and www.givetoyourself.com or any other third party website. By entering, Contestants irrevocably assigns to Aspire and its successors, assignees, licensees, or designees any and all rights, title and interest in the Works, including but not limited to all intellectual property rights therein. Aspire and its successors, assignees, licensees or designees shall have, without limitation, the perpetual, irrevocable, world-wide and fully-transferable right to edit, adapt, modify, publish, use, make derivative works of and otherwise exploit the Works (or any part thereof) in any way and in any media for trade, advertising, promotional and/or other purposes as Aspire and its successors, assigns, licensees or designees may determine, all without payment, consideration, attribution, acknowledgement, consent or consideration to Contestants or any third parties. Such rights granted herein include without limitation the right of Aspire or its successors, assignees, licensees or designees to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use any of the Works, in whole or in part, on the Contest Website, any other third party website, and in any way and in any media or forms of delivery. Contestants forever waives any rights of privacy, intellectual property, and any other legal or moral rights that may preclude Aspire’s use of the Works or any part thereof, or require the Contestants’ permission to use them for any purpose, and agrees to never sue or assert any claim against Aspire’s use of those Works; agrees to indemnify and hold Released Parties harmless from any and all claims, damages, loss, injury, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Released Parties due to or arising out of the Works or Contestants’ participation in this Contest, or the Contestants’ conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation, personal injury or death. Contestants agrees to release, indemnify and hold harmless Released Parties from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Released Parties infringes on the rights of Contestants’ work as contained in the Works. That Contestants grants to Aspire and any third parties authorized by Aspire the perpetual, irrevocable, royalty-free right to, and agrees and acknowledges that Aspire or third parties on behalf of Aspire may edit the Works in any manner, including without limitation for length, content, or other elements of such Works.

8. Arbitration/Waiver of Injunctive Relief/Governing Law. By sumibtting Entry Submissions, CONTESTANTS agree that any claim or controversy arising out of or reatling to these Official Rules, ENFORCEMENT, NTERPRETATION OR ARBITRABILITY of these official Rules SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN WASHOE COUNTY, NEVADA, in accordance with the arbitration rules of the Judicial Arbitration and Mediation Services, Inc. (JAMS). Notwithstanding any provisions of THESE OFFICIAL RULES relating to which state laws govern THESE OFFICIAL RULES, all issues relating to arbitration or the enforcement of the agreement to arbitrate here shall be governed by the Federal Arbitration Act (9 U.S.C. § 1 et esq.) and the federal common law of arbitration. Except where prohibited, all issues concerning the construction and interpretation of these Official Rules will be governed by the laws of the state of Nevada.

9. Miscellaneous. Aspire is not responsible or liable for Entry Submissions that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Entry Submission that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, incomplete, or otherwise not in compliance with these Official Rules, and all such Entry Submission will be automatically disqualified. By entering the Contest, each Contestant agrees and acknowledges to be bound by these Official Rules and applicable laws, as well as the decisions of Aspire which are final and binding in all respects; to waive any rights to claim ambiguity with these Official Rules and applicable laws, and that the Aspire shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with participation in the Contest including but not limited to: (1) acceptance, possession, defects, use and/or misuse of any prize awarded (including, but not limited to, cancellations, delays or any change by the Girlfriend Getaway Package(s), or other entities or any other persons providing any of these services for the Girlfriend Getaway Package(s) and the Winner’s guest during the utilization of the Girlfriend Getaway Package(s) due to reasons beyond the control of Aspire, (2) typographical errors in Contest promotional material or press releases, (3) shipping delays, (4) human error, (5) incorrect or inaccurate transcription of Entry Submissions Information, (6) any technical malfunctions of the telephone network, (7) interruption or inability to access the Contest, (8) any lost or delayed data transmissions, omissions, interruptions, defects, (9) and/or any other malfunctions or errors, even if caused by the negligence of Aspire. Each Contestant further agrees to indemnify and hold harmless Aspire from any and all liability resulting or arising from the Girlfriend Getaway Contest and to release all rights to bring any claim, action or proceeding against the Aspire. Aspire shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to: (1) by any unauthorized, negligent or wrongful act or omission on the part of Girlfriend Getaway Package(s) Destinations or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Aspire, or (3) by any other cause, condition or event whatsoever beyond the control of Aspire or its successors, assignees, licensees or designees. Aspire and its officers, directors, agents, successors, assignees, licensees, designees and employees will have no liability or responsibility for any claim arising in connection with participation in this Contest or any Girlfriend Getaway Package(s) awarded. Contestants further understand and agree that they shall have no right to enjoin or restrain the development, production, advertising, promotion, distribution or exploitation of the Contest, or any Aspire, or any of its , affiliates, subsidiaries, successors, assigns, licensees or designees. By accepting Girlfriend Getaway Package(s), Winner agrees that Released Parties shall have no liability and will be held harmless for any liability, loss, injury or damage, due in whole or in part, directly or indirectly, by reason of the Entry Submissions, Girlfriend Getaway Package(s) acceptance, possession, use or misuse of Girlfriend Getaway Package(s). Aspire reserves the right to disqualify any and all Entry Submissions who Aspire believes has attempted to tamper with, influence, or impair the administration, security or fairness of the Contest. Aspire reserves the right, in at Aspire’s sole discretion, to void suspect Entry Submissions or to modify, cancel, terminate or suspend the Contest (or portion thereof) should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, or fairness of the Contest (or portion thereof). ANY ATTEMPT TO DELIBERATELY UNDERMINE THE WEBSITE OR THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ASPIRE RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
